- 00:01:46some of you are like you know what i
- 00:01:47don't need any more shame in my life

- 00:01:50i don't need mark and matt tell me how i
- 00:01:52screwed up my llc
- 00:01:55well we're we're here
- 00:01:58with through love and compassion
- 00:02:00to just say it's okay you're human and
- 00:02:02and you know what if your llc is jacked
- 00:02:04up it's not your fault it's probably
- 00:02:06some website's fault
- 00:02:08some brother-in-law you can always blame
- 00:02:10a good brother-in-law for most things

- 00:02:16llc jua
- 00:02:18llc jacked up anonymous there's a
- 00:02:20there's dozens of chapters there's
- 00:02:22probably one in your neighborhood
- 00:02:24um in your city yeah they meet on
- 00:02:26thursday nights usually
- 00:02:28i'm going on i've got my two year coin
- 00:02:30right here
- 00:02:32my llc has been clean for two years
- 00:02:35asset protected
- 00:02:37yeah it's a it's a milestone
- 00:02:40so um but us as tax and business lawyers
- 00:02:43mark and i are both attorneys for any of
- 00:02:44you new to the podcast we're small
- 00:02:46business owners we're passionate about
- 00:02:48building and protecting your wealth
- 00:02:50paying only as much tax as you need to
- 00:02:52and the llc is one of the most commonly
- 00:02:55used business entities some asset
- 00:02:58protection can be great for partnerships
- 00:03:01sometimes there could be some tax
- 00:03:02planning in it if you're doing an s
- 00:03:03selection on it and maybe you got the
- 00:03:05wrong entity and you need to kind of
- 00:03:07tweak it a little so
- 00:03:09it's a really commonly used entity also
- 00:03:12commonly screwed up
- 00:03:13yeah
- 00:03:14and i i'm gonna okay
- 00:03:16little behind the scenes i think i i
- 00:03:19like behind the scenes
- 00:03:22you know sometimes the blooper reel you
- 00:03:24know
- 00:03:25after takes
- 00:03:26those are fun so i'm going to just give
- 00:03:28you a little behind the scenes my vote
- 00:03:30for today's show title and i got out
- 00:03:33voted by a number of people including
- 00:03:35matt sorensen i'm still a little butt
- 00:03:37hurt about this but
- 00:03:38my title was

- 00:03:42this
- 00:03:44it wasn't very memorable that's why i
- 00:03:45was like yeah no one's gonna remember

- 00:03:55no that was yours that was a dumb one um

- 00:04:06no one talks okay all right that would
- 00:04:09see right there doesn't it isn't that
- 00:04:11catchy it's so catchy you could remember

- 00:06:04list now i'm gonna i want to bring
- 00:06:08what i thought was a better title for
- 00:06:09the show i'm gonna bring that point to
- 00:06:11bear here shortly okay but
- 00:06:13i'm gonna let you go first matt okay
- 00:06:15mistakes people commonly make
- 00:06:19when setting up an llc you go first
- 00:06:21people do not be shamed no matter how
- 00:06:24you know mean matt sounds
- 00:06:26just know i'm the good cop here i'll
- 00:06:28have a you know we can solve the problem
- 00:06:30yeah okay go ahead matt i want to set
- 00:06:32that up for you go ahead okay thank you
- 00:06:36so
- 00:06:37okay
- 00:06:37uh first mistake okay making your llc
- 00:06:41member managed
- 00:06:44when you set up an llc you have two
- 00:06:47options that every state has this same
- 00:06:48format you can do manager managed and
- 00:06:51you can disclose who the manager is
- 00:06:53which in many times could be you
- 00:06:55or you can do member managed and
- 00:06:57disclose who owns it if you do member
- 00:06:59managed you're putting yourself down as
- 00:07:02member and you're saying hey
- 00:07:04i own this it's right on the state's
- 00:07:06website
- 00:07:07come get me
- 00:07:09yeah we don't love that no we want
- 00:07:11manager managed for your llc so you're
- 00:07:13the manager and we don't know who owns
- 00:07:15it maybe it's you maybe it's your trust
- 00:07:17maybe you've got a partner in there
- 00:07:19maybe a spouse who knows but there's a
- 00:07:21lot more privacy to that and manager
- 00:07:24manage is just better for a number of
- 00:07:26other reasons yeah so first is you
- 00:07:28screwed up the first option is this a
- 00:07:31manager managed llc or member managed
- 00:07:33yeah and by the way we'll get some hate
- 00:07:35mail on this because
- 00:07:37i know right out of the gate some of you
- 00:07:39that are practitioners are going whoa
- 00:07:40whoa whoa whoa i always do member
- 00:07:42managed you these guys are yahoos they
- 00:07:45don't know what we're doing
- 00:07:46first let me a little and i say this
- 00:07:49humbly a little bit of credibility here
- 00:07:51we really are lawyers we really have a
- 00:07:53law firm and we've set up
- 00:07:56thousands i would dare say over ten
- 00:07:59thousand llc's you know yeah oh yeah
- 00:08:02easily
- 00:08:04um
- 00:08:04in our first we did over 200 last month
- 00:08:06you know yeah so like 250s and
- 00:08:10have been doing this since what we're on
- 00:08:12our 20th anniversary of the firm yeah so
- 00:08:15it's been cranking so some of you may go
- 00:08:18well
- 00:08:19all right so i want to tell you
- 00:08:21that think we're wrong just put your
- 00:08:23guard down for a moment let me give you
- 00:08:26a couple other reasons why this is
- 00:08:28number one on the list i like that you
- 00:08:29came out of this i i didn't know you
- 00:08:31were going to come out of the gate with
- 00:08:32this one okay
- 00:08:33but matt said privacy which is nice
- 00:08:36because you don't want to know who the
- 00:08:37owners are
- 00:08:39arizona is one of those states where if
- 00:08:41you're more than a 20 owner you have to
- 00:08:44have that disclosed on the website and
- 00:08:46in the articles kind of sucks but 90 of
- 00:08:49all the other states
- 00:08:50uh your you can get away with just
- 00:08:53manager managed in fact in some states
- 00:08:55like wyoming you can get away with just
- 00:08:57the incorporator like who is the lawyer
- 00:09:00that set this up so we've always thought
- 00:09:02why
- 00:09:03why share it if you don't have to
- 00:09:05you know exactly so yeah
- 00:09:07and um another reason just on that same
- 00:09:11is well what if i'm what if i set up my
- 00:09:13estate plan or my trust later and i want
- 00:09:14to transfer the ownership if it's
- 00:09:16manager managed i don't need to amend
- 00:09:17anything with the state if it's member
- 00:09:19managed you're gonna have to go do an
- 00:09:21amendment to the state to transfer the
- 00:09:23ownership from you to and amend that and
- 00:09:25so you give yourself kind of more crap
- 00:09:27to do when you do member managed okay
- 00:09:29and so and i like i don't even
- 00:09:32expand on mats
- 00:09:35if you change ownership not just within
- 00:09:37your own trust or something but you
- 00:09:39bring on a partner
- 00:09:40so now you're 50 50 or whatever so
- 00:09:43you've got multiple partners in an llc
- 00:09:46if you're manager managed there's a good
- 00:09:47chance i'm not modifying a thing with
- 00:09:50the state and no one knows
- 00:09:52that's really cool
- 00:09:53yeah yeah much more private okay now
- 00:09:55third gosh darn it i don't know what's
- 00:09:57going i need a i need a drink today
- 00:09:59i'm just like forg i had my third one
- 00:10:01right on the tip of my tongue
- 00:10:03and okay so it's privacy
- 00:10:05transfers
- 00:10:07and what else would you say why do we
- 00:10:09want manager managed we tell people you
- 00:10:11give them three three reasons for
- 00:10:13management i got one i got another one
- 00:10:15okay the bank the bank because if you go
- 00:10:18in with a member managed llc a lot of
- 00:10:20times the banks want to see all the
- 00:10:22members
- 00:10:23and they want to see the operating
- 00:10:25agreement they want to run socials on
- 00:10:26all the members yadda yadda uh more and
- 00:10:29more with the banking scenario setups we
- 00:10:32prefer and we have some online banks we
- 00:10:34can give you too
- 00:10:35they're like who's the manager what's
- 00:10:37their social
- 00:10:39what's the ein for the company show us
- 00:10:41the articles done and we did a show two
- 00:10:43or three weeks ago on what banks do to
- 00:10:46screw up the process so they're on a
- 00:10:47need to know basis but if you do member
- 00:10:49managed
- 00:10:51there's a good chance the bank's gonna
- 00:10:52want more crap so
- 00:10:54that's number three i don't have any
- 00:10:56others but that's mistake number one
- 00:10:58i like that map
- 00:10:59okay all right
- 00:11:01okay so go manager manage and you can
- 00:11:03always fix that moving forward so that's
- 00:11:05an amendment to the state we fix that
- 00:11:06often for clients
- 00:11:08okay okay um man number two is a hard
- 00:11:11one are we doing the most important in a
- 00:11:13row
- 00:11:14uh okay i'm not dan i'm not saying that
- 00:11:18okay all right okay yeah i'm just gonna
- 00:11:20throw this one out then because it's the
- 00:11:21next one that comes to mind
- 00:11:23setting up the llc in the wrong state
- 00:11:28nice cough right when i said that on the
- 00:11:30microphone corey
- 00:11:32i don't know if anybody
- 00:11:34that would be unedible because
- 00:11:36but i'm going to say it again
- 00:11:38corey are you ready corey because i just
- 00:11:40want quiet in the studio you know
- 00:11:42heaven forbid right on the snap do some
- 00:11:44directing here okay okay
- 00:11:47setting up the llc
- 00:11:49in the wrong state
- 00:11:52so
- 00:11:52uh i'll throw it back to you matt give
- 00:11:54us an example of
- 00:11:56wrong state
- 00:11:58well there's the classic one
- 00:12:00i set it up in nevada
- 00:12:02delaware
- 00:12:03a delaware i live in california
- 00:12:07okay
- 00:12:09are you doing business in nevada no
- 00:12:12but i heard an am radio commercial that
- 00:12:13said i should set up in nevada or i went
- 00:12:15to some seminar at a holiday inn and
- 00:12:17some corporate headquarter person that's
- 00:12:19a coach told me i needed 10 llcs in
- 00:12:21nevada for my small business i run out
- 00:12:24of my house in california yeah and i get
- 00:12:26unlimited llc's by the way you know i
- 00:12:28can set up as many as i want yeah
- 00:12:31yeah and it's only a hundred dollars
- 00:12:33more for each one i set up okay
- 00:12:35all right nice
- 00:12:37um well
- 00:12:39let's get to the state issue
- 00:12:41if you're buying real estate let's talk
- 00:12:43about that first we always recommend
- 00:12:45setting up the llc in the state where
- 00:12:47you own the property so if i'm buying a
- 00:12:49nevada property cool doing a bad llc but
- 00:12:52if i'm buying an arizona rental property
- 00:12:54i'm not going to do a nevada llc if to
- 00:12:56do that i'm going to have to pay fees in
- 00:12:58nevada then i'm going to have to
- 00:12:59register in arizona and pay fees in
- 00:13:00arizona
- 00:13:01and then i can use that llc why don't i
- 00:13:04just go straight to arizona and do an
- 00:13:05arizona llc there's this misconception
- 00:13:08out there that er that nevada has this
- 00:13:11heightened level of asset protection
- 00:13:12that's portable that you can move over
- 00:13:14to any state that matters for the basic
- 00:13:16real estate investor or business owner
- 00:13:18it doesn't you know
- 00:13:20it's it's not worth it the fees in
- 00:13:22nevada are expensive delaware too
- 00:13:25um so beware of those states
- 00:13:27sure they're nice for big corporations
- 00:13:30and in certain nuance situations but for
- 00:13:33the typical small business owner
- 00:13:34entrepreneur real estate investor
- 00:13:38you know you small business owners we're
- 00:13:39going to set up the state where you
- 00:13:40operate from
- 00:13:42if you're an online business you might
- 00:13:44go to online if i may okay
- 00:13:46so let's stay with this real estate
- 00:13:47promo and let's vet this a little bit
- 00:13:49more matt some of us
- 00:13:51you know in the industry we say peel
- 00:13:53away the onion
- 00:13:54okay get it you know not a technical
- 00:13:56term yeah you may want to adopt that
- 00:13:58it's okay
- 00:13:59is that why i cry when you explain this
- 00:14:01stuff
- 00:14:02fair enough it's got a two-prong effect
- 00:14:06okay so
- 00:14:07uh
- 00:14:09so let's go back to matt's example i
- 00:14:11live in arizona
- 00:14:12and i have a rental in arizona but i got
- 00:14:14sucked into a nevada llc now we can talk
- 00:14:16about how to fix it in a moment i'll
- 00:14:18give you some good news there
- 00:14:20there is hope
- 00:14:21see no shame
- 00:14:23hope see there's a small subtle thing
- 00:14:25there okay so
- 00:14:30you set up an arizona
- 00:14:32uh
- 00:14:33sorry let's back up could i set up a
- 00:14:35nevada llc and register at foreign in
- 00:14:37arizona sure
- 00:14:39i'm not saying that that's bad and i'm
- 00:14:41not saying nevada llcs don't have good
- 00:14:43asset protection if i'm doing business
- 00:14:45in nevada
- 00:14:47and there can be what we call a charging
- 00:14:49order protection entity
- 00:14:52status that's called a cope cope we've
- 00:14:55done separate podcasts just on that

- 00:15:13kind of high level asset protection
- 00:15:16and so
- 00:15:17a cope
- 00:15:19may be
- 00:15:20necessary for some people with more
- 00:15:22assets so i may go nevada i may go
- 00:15:24wyoming and i may go maybe at delaware
- 00:15:26but that's something we grow into
- 00:15:28so for again for the common client that
- 00:15:30just has a simple rental property in
- 00:15:32arizona
- 00:15:33maybe i'd live in california i'd set up
- 00:15:36an arizona llc
- 00:15:37hold that rental property i know
- 00:15:39californians have a franchise tax issue
- 00:15:42do i need to register to do business in
- 00:15:44california maybe at least with the
- 00:15:45franchise tax board and pay my fee
- 00:15:47whatever that's a topic for another day
- 00:15:49but the point is i'm to get asset
- 00:15:51protection i have to have the llc
- 00:15:53registered in the state where the
- 00:15:54property is
- 00:15:55so why pay double fees having it in
- 00:15:58nevada and in arizona in that example if
- 00:16:01i'm just getting started have four or
- 00:16:02five rentals there's no need to double
- 00:16:04down on cost
- 00:16:07yeah
- 00:16:08yeah and there are some states that say
- 00:16:10if you have an out-of-state entity that
- 00:16:11you don't register to do business in our
- 00:16:13state and you have a lawsuit here we
- 00:16:15don't even recognize that llc yeah uh
- 00:16:18it's you pretty much and other states
- 00:16:21have fees they ding you for failure to
- 00:16:23do that so you want to be careful on
- 00:16:25that i actually have a blog article on
- 00:16:26on my blog but um just just get
- 00:16:29registered in the state you're actually
- 00:16:31doing business for you operational
- 00:16:32business owners small business owners
- 00:16:34you're going to want to be in the state
- 00:16:36you're doing business in property owners
- 00:16:38state where the property's at
- 00:16:40um those are the the best guidelines
- 00:16:42there
- 00:16:43beware of people recommending nevada or
- 00:16:47delaware when you don't live there yeah
- 00:16:49and and again not that it's not bad i'd
- 00:16:52we'd all like to drive a sports car
- 00:16:54that's worth a hundred grand
- 00:16:56but
- 00:16:57it may not fit your situation it may not
- 00:17:00you know you're just not a sports car
- 00:17:02guy you know and it's okay stay in your
- 00:17:04lane you might be a minivan guy and you
- 00:17:07just own it just do it zone
- 00:17:11is there really such a thing as a
- 00:17:12minivan guy or is we just
- 00:17:14i think there is is there okay all right
- 00:17:17i don't i don't want to put labels on
- 00:17:19people you know that's that's
- 00:17:21inappropriate um we are
- 00:17:23inclusive here of minivan owners and
- 00:17:26sports car owners you're all welcome
- 00:17:27here
- 00:17:28that's right okay all right number three
- 00:17:30what would you say is number three
- 00:17:33okay um you know holy i think we brushed
- 00:17:36over something matt may i
- 00:17:38is your okay okay
- 00:17:40let's make this very clear if i'm buying
- 00:17:43rental property it's not where i live or
- 00:17:46where the best asset protection is first
- 00:17:48and foremost i set the entity up where
- 00:17:50the rental property is then we talk
- 00:17:52about additional strategies that's step
- 00:17:55two or three
- 00:17:56don't overdo it people
- 00:17:58if you're an operational business i
- 00:17:59don't want to skimp over that if i'm a
- 00:18:01realtor i'm a contractor i'm a
- 00:18:04plumber i'm a consultant i'm selling
- 00:18:06stuff online
- 00:18:08and i live in new jersey you may say
- 00:18:10well i don't need a new jersey llc
- 00:18:12because i sell everything online so i
- 00:18:14could set up a florida llc and not pay
- 00:18:16any tax because
- 00:18:18i want a florida llc
- 00:18:20well you're not going to get around
- 00:18:22state tax because you're a resident of
- 00:18:24new jersey bottom line
- 00:18:25and you're not going to get protection
- 00:18:27in new jersey setting up a florida
- 00:18:29entity and third if you're doing an
- 00:18:31operational business you're going to
- 00:18:33have to pay fica the f word and you're
- 00:18:36going to say one day what the fica and
- 00:18:38we're going to say we feel your pain and
- 00:18:40so if you need to elect your llc to be
- 00:18:43an s corporation to get around fica and
- 00:18:46we can save you thousands with that
- 00:18:47strategy go to another podcast on that
- 00:18:49one for us okay
- 00:18:51you're going to need that entity
- 00:18:52registered in new jersey because i have
- 00:18:54to get a tax id number in new jersey i
- 00:18:55need to do my payroll in new jersey i'm
- 00:18:57going to pay state tax in new jersey and
- 00:18:59setting up in florida or texas or nevada
- 00:19:02is not going to save me state tax i set
- 00:19:05it up in the wrong state
- 00:19:07and so i think that's a strong number
- 00:19:08too because there's so many ways to
- 00:19:10screw that up
- 00:19:12okay do you feel more comfortable this
- 00:19:13is sub part two to to mistake number
- 00:19:15three i'm just confused where we're at
- 00:19:17here really you're gonna throw out that
- 00:19:19passive aggressive comment that wasn't
- 00:19:21passive aggressiveness what number are
- 00:19:22we on we're on number two the wrong
- 00:19:24state
- 00:19:26okay all right okay number one with
- 00:19:27member managed instead of manager
- 00:19:29managed number two is the wrong state
- 00:19:31can i give number three because you
- 00:19:32dipped your chin i think it's a big one

- 00:20:08um but it's one easily fixed that's the

- 00:20:21taxes
- 00:20:22no it doesn't
- 00:20:25the s corp can save you taxes so

- 00:20:29freaking entity
- 00:20:30yeah i like it so yeah so let's get the
- 00:20:33right entity so the second sorry third
- 00:20:36mistake is you set up an llc but you
- 00:20:38really needed an s corp
- 00:20:40now when do you need an s corporation
- 00:20:42now we have a whole separate podcast

- 00:20:46of content that you know ridiculous book
- 00:20:48mark was waving around has plenty of
- 00:20:50information on the s corp this is not

- 00:21:56the real estate professional contractor
- 00:21:58you you people should all be in an s
- 00:22:00corporation
- 00:22:02now you if you're a low income or this
- 00:22:03is a side hustle you only make 10 or 20
- 00:22:05a year
- 00:22:06net income you may just stay in an llc
- 00:22:09but if you're making 40 50 more a year
- 00:22:12net after everything you can expense the
- 00:22:14s corporation is going to save you
- 00:22:15thousands of dollars in taxes it's a
- 00:22:18better structure
- 00:22:20now since mark's still eating let me

- 00:23:31here's the good news
- 00:23:32you set up an llc you're an operational
- 00:23:34business you're making more than 50k a
- 00:23:36year crap do i need to shut this down
- 00:23:38and go start to set up a new s corp
- 00:23:40no
- 00:23:41you can add an s election to that llc
- 00:23:45okay we change the tax status with the
- 00:23:46irs and now you're an llc still with the
- 00:23:49state you can keep your same bank
- 00:23:51account keep the same name keep
- 00:23:53operating as you have but
- 00:23:56you have an s corporation for tax
- 00:23:57purposes you'll need to start doing some
- 00:23:59payroll and you'll have a different tax
- 00:24:00return so you need to kind of learn that
- 00:24:02that nuance there but now you can avail
- 00:24:06yourself for the s corporation tax
- 00:24:07strategies even though you're still an
- 00:24:09llc yep you just claim that s
- 00:24:11corporation tax status
- 00:24:13easy way to opt in with the s election
- 00:24:16love it all right number number four all
- 00:24:19you okay and i've got a really good
- 00:24:21analogy that goes with this one
- 00:24:23number four
- 00:24:24you set up your llc with one sheet of
- 00:24:26paper
- 00:24:28now you may think
- 00:24:29you're like
- 00:24:30so clever you know i'm like oh i found
- 00:24:33the website it's only a 52 filing fee
- 00:24:37these lawyers are rip off i can do it
- 00:24:39myself and you file your articles and
- 00:24:41you're like
- 00:24:42i'm set i'm ready to go
- 00:24:45well
- 00:24:46you really only have about 20 percent at
- 00:24:49best of what you really need to have a
- 00:24:51legitimate llc
- 00:24:54there's a lot of pieces and parts you
- 00:24:55should have an operating agreement you
- 00:24:57should have organizational minutes you
- 00:24:59should have membership certificates a
- 00:25:01corporate book
- 00:25:03there'd be maybe a
- 00:25:04an ein or tax id application filled out
- 00:25:08are you going to do an s election
- 00:25:10why did you even freaking do this in the
- 00:25:12first place are you just doing it
- 00:25:13because someone told you to or because
- 00:25:15it's cheap and so you think that's what
- 00:25:17everybody else does that's what i should
- 00:25:18do it
- 00:25:19all of these reasons are number four of
- 00:25:22i cut corners and i think i'm okay
- 00:25:25the problem is when you get into court
- 00:25:27or into an irs audit you really don't
- 00:25:29have a legitimate llc it's a piece of
- 00:25:32crap it's not worth the paper it's
- 00:25:34printed on and so we
- 00:25:38here's here's the analogy you ready
- 00:25:40everybody thinks asset protection is
- 00:25:42this
- 00:25:42i gotta pay a bunch for it or if i you
- 00:25:45get what you pay for in asset protection
- 00:25:47that's what people think and that's
- 00:25:48wrong you may say well i spent five
- 00:25:50grand so i have great asset protection
- 00:25:52it could suck
- 00:25:54the best asset protection
- 00:25:56is sometimes the easiest things to do
- 00:25:59it's just maintaining your llc doing
- 00:26:02your annual minutes your annual board
- 00:26:04meeting and i know some of you
- 00:26:06professionals out there are going to go
- 00:26:07you don't have to do that with an llc
- 00:26:09all right
- 00:26:10maybe technically you don't
- 00:26:12do you want to go into court and say
- 00:26:14that you're judge you know what we
- 00:26:15didn't have to do those formalities so
- 00:26:17we didn't so just deal with it our llc
- 00:26:19is great why not show up in court with
- 00:26:22your crap together and a lot of clients
- 00:26:24at night before a court hearing or
- 00:26:27before depositions are working on their
- 00:26:28llc because it's a wreck
- 00:26:31don't get caught so
- 00:26:33here's the here's the analogy
- 00:26:35okay abs are earned in the kitchen
- 00:26:38abs are earned it's the little things
- 00:26:40you don't have to go spend thousands on
- 00:26:42a you know a diet or this crazy thing or
- 00:26:46liposuction i don't need the thousand
- 00:26:48dollar ab roller no now this is coming
- 00:26:51from the guy eating french fries
- 00:26:52personal trainer for 750 a month i don't
- 00:26:54need that you don't need a personal
- 00:26:56trainer
- 00:26:57now
- 00:26:58this this metaphor is coming from the
- 00:27:00guy
- 00:27:01eating french fries during this point
- 00:27:04do not get distracted by that um
- 00:27:08it's called a paradox
- 00:27:11it's called something but
- 00:27:12it's not it's not gonna be good i have a
- 00:27:14friend that's like french fries you can
- 00:27:15eat those all day those are good for you
- 00:27:16i'm like you know what
- 00:27:18i'm gonna adopt that i thought that was
- 00:27:20i mean you live in idaho
- 00:27:22true i'm very come on cut cut
- 00:27:26yeah cut me a break i mean yeah i gotta
- 00:27:28support the peeps you know there's
- 00:27:30farmers out here you know trying to help
- 00:27:32my fellow man and woman and farmer and
- 00:27:36kid you know by the way potato harvest
- 00:27:38is around the corner i'm so excited okay
- 00:27:40now
- 00:27:41but here's my point it's the little
- 00:27:43things in asset protection
- 00:27:45that are cheap and affordable and simple
- 00:27:47they give you the best asset protection
- 00:27:50and it's just like again exercise and
- 00:27:51workout it's the little things doing
- 00:27:53them daily that really get you the
- 00:27:55biggest bang
- 00:27:56for
- 00:27:58losing weight
- 00:27:59so they say
- 00:28:01hey cor do we have any fry sauce
- 00:28:05can i dip these into some saturated i
- 00:28:07need some fry sauce okay what point were
- 00:28:09we on
- 00:28:11all right okay here let me add to that
- 00:28:13this is a really important one okay when
- 00:28:15you have an llc you should have a tax id
- 00:28:18you should have an operating agreement
- 00:28:21you should have the membership
- 00:28:22certificates
- 00:28:23you should have a corporate book okay
- 00:28:25now here's another time where i hear it
- 00:28:27it's not just when you go to court
- 00:28:28there's a couple interesting points on
- 00:28:30this
- 00:28:30i always get the calls of someone who's
- 00:28:32trying to sell real estate they bought
- 00:28:33it in an llc and no one cared when you
- 00:28:35buy in an llc if you especially if you
- 00:28:37spot with cash but now they're selling
- 00:28:39the property and the title companies
- 00:28:40like well where's what's your tax id
- 00:28:42oh it's just my social
- 00:28:44okay
- 00:28:45where's your operating agreement i don't
- 00:28:47have one
- 00:28:48uh
- 00:28:50okay
- 00:28:51so they come running to us because the
- 00:28:53title company's like yeah we're not
- 00:28:55gonna sell this property this little
- 00:28:56piece of paper you have
- 00:28:58that's not it you didn't do the whole
- 00:29:00thing or you go to the bank and you try
- 00:29:01and get a loan and the bank's like oh
- 00:29:03you got an llc here's a list of
- 00:29:04documents you need
- 00:29:06for the llc
- 00:29:08operating agreement tax id
- 00:29:10ss4 all these documents they're going to
- 00:29:13ask for it's not the one piece of paper
- 00:29:15that comes from the state that you just
- 00:29:17paid the fee and it came back with a
- 00:29:19nice little stamp on it so
- 00:29:21um
- 00:29:22okay love it now there you go if this
- 00:29:24was some other podcast
- 00:29:26that
- 00:29:27gave self-serving
- 00:29:29you know advertising during their
- 00:29:31podcast
- 00:29:33you might expect someone to bring up the
- 00:29:34fact that they had a special in the law
- 00:29:36firm this month
- 00:29:38where we do what's called a
- 00:29:40corporate cleanup or an llc cleanup i
- 00:29:43mean that would be a shameless plug that
- 00:29:45i would not want to stoop to but yeah
- 00:29:47something and i think
- 00:29:48you know that company probably offer
- 00:29:50like 50 bucks off yeah
- 00:29:52just try and make a little sweeter for
- 00:29:54people to give a little incentive to get
- 00:29:55it done now they've learned something
- 00:29:57that their llc is all jacked up yeah
- 00:29:59so if some of you might come across the
- 00:30:02podcast that would stoop to that level
- 00:30:04of
- 00:30:05talking about a certain special they do
- 00:30:07for maybe the seventh year in a row and
- 00:30:09people find it very helpful to get their
- 00:30:10llc cleaned up

- 00:31:19and then the problem here number five
- 00:31:22and then you can take it to the hoop i
- 00:31:24mean this is what some may call an
- 00:31:25alley-oop you ready okay all right
- 00:31:28sometimes more
- 00:31:29isn't
- 00:31:30better sometimes you can set up too many
- 00:31:33llc's
- 00:31:36rather than no llc at all
- 00:31:38so
- 00:31:39sometimes
- 00:31:41less is better and sometimes
- 00:31:44more is not better
- 00:31:47do you have anything to make that really
- 00:31:50insightful
- 00:31:51what would one good example um
- 00:31:54sauce
- 00:31:55ooh sauce yeah
- 00:31:56you know you got the right amount of
- 00:31:58sauce you put too much sauce on
- 00:32:00something yeah your french fries your
- 00:32:02hamburger
- 00:32:03like let me give you an example
- 00:32:05i used to love whoppers then one day i
- 00:32:08asked for extra ketchup on my whopper
- 00:32:10and there was way too much ketchup on it
- 00:32:12i haven't had a whopper for like 20
- 00:32:13years since
- 00:32:15ruined it yes
- 00:32:16you in our entire relationship you've
- 00:32:19never shared this before i didn't know
- 00:32:20that yeah
- 00:32:21yeah i always wondered when we went
- 00:32:23never mattered until now
- 00:32:25so i can't remember when you and i went
- 00:32:27through a burger king drive-through but
- 00:32:29yeah
- 00:32:30if you snuck by there without a whopper
- 00:32:32i didn't notice but
- 00:32:34man are you okay i mean
- 00:32:36i mean i've survived okay yeah all right
- 00:32:39it's just been you know that's powerful
- 00:32:40it was powerful well those burdens in
- 00:32:42life well you heard um here's another
- 00:32:43analogy though let me give you another
- 00:32:45one
- 00:32:46it's like
- 00:32:47vitamins or medicine okay
- 00:32:49you can take too much
- 00:32:51you can od on this stuff
- 00:32:53and i think a lot of people just think
- 00:32:54well
- 00:32:55i mean you take this if you got
- 00:32:56headaches should i just take 100 of them
- 00:32:58no you're going to overdo it
- 00:33:00and here's the there's a cost to asset
- 00:33:03protection there's a cost to all these
- 00:33:05entities there's a cost to set it up
- 00:33:07there's the cost to maintain it here's
- 00:33:08what else we see people have so much
- 00:33:11going on they don't they can't even keep
- 00:33:13it together they don't even use them
- 00:33:15properly because they've got so much
- 00:33:16going on they got oversold this
- 00:33:19structure that they don't even know how
- 00:33:20to operate and frankly doesn't do them
- 00:33:22any benefit anyways and now they've
- 00:33:24screwed up just even the basic
- 00:33:25components of it because they got
- 00:33:27overwhelmed
- 00:33:28oh you know what
- 00:33:30and i feel bad because i could have said
- 00:33:31it
- 00:33:32better i was using the word better you
- 00:33:34know like
- 00:33:35more is not always better whatever it's
- 00:33:38here's the proper way to say can you
- 00:33:40have too much of a good thing
- 00:33:42i think with an llc you can have too
- 00:33:44many
- 00:33:45and it becomes expensive and unnecessary
- 00:33:48and so when someone's trying to sell you
- 00:33:50oh you can have unlimited llc's and it's
- 00:33:52a flat fee
- 00:33:54that's not a good thing
- 00:33:56you know it's like saying you can have
- 00:33:57unlimited ice cream anytime you want no
- 00:34:00that's i don't want that i don't need
- 00:34:02that
- 00:34:03now
- 00:34:04there are some things that
- 00:34:07one might say you can't have too much of
- 00:34:09a good thing
- 00:34:10um
- 00:34:13a couple come to mind but
- 00:34:16okay sorry i'm sorry i got carried away
- 00:34:18i was just got something but cory said
- 00:34:20we have to make sure we keep our

- 00:35:15and it doesn't fit your situation okay
- 00:35:17that's number six okay your llc here's
- 00:35:20the analogy since we're all about
- 00:35:22analogies here this one's gonna be you
- 00:35:24know this is this one's for everyone
- 00:35:26okay
- 00:35:26your llc should be like a tailored suit
- 00:35:30don't just buy it off the shelf there's
- 00:35:32not a one size fits all the llc you do
- 00:35:36for different things that you do is
- 00:35:37going to be different the llc you have
- 00:35:39with a partner is different from the llc
- 00:35:41that's just you the llc that you use for
- 00:35:44a rental property in one state may be
- 00:35:45different from an llc in another state
- 00:35:48and so
- 00:35:49um people who just kind of sell this off
- 00:35:52the shelf it's the same thing for
- 00:35:54everyone
- 00:35:55just do an llc for this and that and
- 00:35:57it's just that's all they sell
- 00:35:59they're doing the wrong structure maybe
- 00:36:01you need a series llc in your situation
- 00:36:03and you're in a state that offers a
- 00:36:05series llc that's better tailored for
- 00:36:07your situation that's more efficient has
- 00:36:09better asset protection maybe you need
- 00:36:11an llc for charging order protection
- 00:36:14because you're trying to protect assets
- 00:36:15from your personal liabilities rather
- 00:36:18than protect your personal assets from
- 00:36:19the business liabilities maybe you have
- 00:36:21an operational business maybe you have a
- 00:36:22partner okay all these things are more
- 00:36:25tailored solutions for your llc that you
- 00:36:28should get some advice on you should get
- 00:36:30educated on yourself as well
- 00:36:33and then get the tailored llc for your
- 00:36:35situation you know what i got i had
- 00:36:36another deep thought i've never said
- 00:36:38this before this you've heard here first
- 00:36:40on main street business
- 00:36:42sometimes the
- 00:36:45the greatest strength
- 00:36:48can also be your greatest weakness
- 00:36:50for example one of the greatest
- 00:36:52strengths of an llc is they're so
- 00:36:54flexible i mean you can do so many
- 00:36:56different things with an llc that's
- 00:36:58their greatest strength
- 00:37:00but it can also be their weakness
- 00:37:01because people will just take a vanilla
- 00:37:03one and think it does all those things
- 00:37:07automatically it doesn't you have to
- 00:37:09still tailor it
- 00:37:10do you like that i i like that yeah
- 00:37:14i'm trying to think of what my greatest
- 00:37:16strength is that is also weakness but
- 00:37:17nothing comes to mind so
- 00:37:20maybe it doesn't work in all cases it's
- 00:37:22just yeah it's not a universe this is a
- 00:37:24small little concept that's yeah just as
- 00:37:26small as i work for llc's yeah yeah i
- 00:37:29mean
- 00:37:30works for other people not me um
- 00:37:32now i'm ready with number seven
- 00:37:35okay okay
- 00:37:37thinking the llc does more
- 00:37:40than it really does
- 00:37:42so you set up an llc thinking
- 00:37:44oh this thing's awesome
- 00:37:47it doesn't even do what you think it's
- 00:37:48gonna do for example okay
- 00:37:51some people go
- 00:37:52hey i got this rental property i set up
- 00:37:54an llc that's awesome and then they get
- 00:37:57on
- 00:37:58uh
- 00:37:59get on their phone
- 00:38:00driving down the road texting and
- 00:38:02driving and they get in an accident
- 00:38:05and heaven forbid that they really
- 00:38:07really hurt someone or kill someone and
- 00:38:09it's happening more and more in the
- 00:38:10country distracted driving
- 00:38:12more and more prosecutors are
- 00:38:14throwing down involuntary manslaughter
- 00:38:17as if it was drunk driving i mean it's
- 00:38:19serious
- 00:38:20so
- 00:38:21someone's out there texting and driving
- 00:38:23gets in an accident and they go hey but
- 00:38:24you know what
- 00:38:26i got an llc it's going to protect my
- 00:38:28rental
- 00:38:29no it's not
- 00:38:30the llc is not there to protect the
- 00:38:33rental from you being an idiot the
- 00:38:35purpose of the llc is to protect you and
- 00:38:38your assets
- 00:38:40from the tenant
- 00:38:41or the property or a problem that could
- 00:38:44happen inside the llc
- 00:38:48and people are always shocked to hear
- 00:38:49that now there are some states that give
- 00:38:51us that outside protection and inside
- 00:38:53again like matt said it matt said a
- 00:38:56tailored suit so you got to get into
- 00:38:57that detail and make sure it's doing
- 00:38:59what you want if you want to pocket
- 00:39:00there we got a got to sew a pocket there
- 00:39:02you just can't assume it's going to just
- 00:39:04appear out of nowhere so some people
- 00:39:06think llc's do more than they really do
- 00:39:09go in with your eyes wide open the main
- 00:39:11purpose of an llc is to protect you
- 00:39:14from whatever the freak the llc is doing
- 00:39:16not to protect the asset in the llc
- 00:39:20from your teenage driver
- 00:39:22mm-hmm you like chat number seven i like
- 00:39:24that that was a good one okay i liked
- 00:39:26your number six i didn't say it a little
- 00:39:28delay okay delayed gratification there
- 00:39:30but i want to let you know thank you
- 00:39:31you're doing a great job today matt i
- 00:39:33was curious i wanted to know what you
- 00:39:35felt about it yeah um
- 00:39:37your i value your opinion
- 00:39:39okay
- 00:39:41why are we on eight
- 00:39:42yeah should we do eight okay you know i
- 00:39:44really shut corey down he was popping
- 00:39:46off earlier in the show and now he's
- 00:39:47like
- 00:39:48so corey if i offended you
- 00:39:51i just want to i just want to say i'm
- 00:39:52sorry
- 00:39:53because yeah he's yeah he's not even
- 00:39:56responding now i think i think okay i
- 00:39:58got number eight this is a good guy we
- 00:39:59got eight all right throw down eight i
- 00:40:01got i got eight
- 00:40:03number eight
- 00:40:05you set up the llc
- 00:40:06but you don't use it right
- 00:40:09all right this is common a lot of people
- 00:40:12set up the llc maybe they even got all
- 00:40:14the documents okay they did they got all
- 00:40:16the stuff it's the right entity and
- 00:40:18structure for them it's in the right
- 00:40:20state
- 00:40:21we've nailed all these other things
- 00:40:22we've talked about but they don't
- 00:40:25operate it properly
- 00:40:26they receive money in their personal
- 00:40:28bank account and they pay all the llc's
- 00:40:29expenses out of a personal bank account
- 00:40:32they have a rental property and the llc
- 00:40:34doesn't even own the rental property
- 00:40:37they have a lease and the lease isn't as
- 00:40:39in the name of the llc it's just in
- 00:40:41their personal name
- 00:40:42you don't have an llc you've got one but
- 00:40:45it's not doing anything it's on the
- 00:40:47bench it's not even in the game all
- 00:40:49right
- 00:40:50you've got to put the llc in the game um
- 00:40:53and you put it in the can that's a great
- 00:40:55first
- 00:40:57thank you
- 00:40:58that's football season okay that's
- 00:41:00coming up baby yeah excited
- 00:41:02so uh
- 00:41:04st there's a few
- 00:41:06a few key steps step one
- 00:41:09open a bank account the llc knows his
- 00:41:11own bank account separate from your
- 00:41:12personal stuff okay this goes back to
- 00:41:14making sure you're getting the asset
- 00:41:16protection of it
- 00:41:17there are
- 00:41:18seminars continuing education for
- 00:41:21lawyers on how to
- 00:41:23pierce the corporate veil yeah
- 00:41:25how to blow through someone's llc that
- 00:41:27they didn't set up right they didn't get
- 00:41:29the right documents or they didn't
- 00:41:30operate it properly okay these are the
- 00:41:33things that we're talking about that
- 00:41:34these lawyers that that are going to try
- 00:41:36and blow through your llcs they can get
- 00:41:37to your personal assets
- 00:41:39this is this stuff we're talking about
- 00:41:40here one of them would be they don't use
- 00:41:43the bank account of the llc they just
- 00:41:45use their own personal bank account and
- 00:41:47they call this alter ego they basically
- 00:41:49say
- 00:41:51you're like batman and bruce wayne
- 00:41:53you're not really batman you just go
- 00:41:55back and forth and we don't really know
- 00:41:56which is which so both of you are
- 00:41:58responsible
- 00:41:59okay
- 00:42:00well so i your separate bank account
- 00:42:02treat it separate okay wow i i like it
- 00:42:05and
- 00:42:07all these examples just in number eight
- 00:42:09it's kind of blown my brain i'm gonna go
- 00:42:11back to the because it is fantasy
- 00:42:13football team uh time
- 00:42:15okay you know
- 00:42:16uh friends also tonight
- 00:42:18yeah sherry i want to give her a shout
- 00:42:20out she was working on her fantasy
- 00:42:22league last night and
- 00:42:24and
- 00:42:24and it was a big deal and i i don't have
- 00:42:27my league set up um
- 00:42:29or my team
- 00:42:31anything close to it but anyway i like
- 00:42:33what matt's saying is if you're going to
- 00:42:35spend all the time to draft this player
- 00:42:37and put them on your team
- 00:42:39let them play in the game
- 00:42:41make sure they're suited up they got
- 00:42:42their helmet on you're using them
- 00:42:44properly
- 00:42:45i thought i'd just take your analogy to
- 00:42:46the next level
- 00:42:47i like that i like that yeah get them
- 00:42:50out there
- 00:42:51you know because your llc's you know and
- 00:42:53they're they're playing defense right
- 00:42:55yeah they're playing defense they're
- 00:42:56trying this you know they want plane of
- 00:42:58scoring points on you so you gotta
- 00:43:00get them out there okay now are we okay
- 00:43:02just saying nine mistakes
- 00:43:04or do we have to do ten because it's
- 00:43:06kind of cliche
- 00:43:07you know like yeah you're reaching for
- 00:43:09ten
- 00:43:10let's be different let's go with nine
- 00:43:12okay you want number nine are we
- 00:43:14okay let's do okay
- 00:43:15biggest mistake
- 00:43:17in setting up an llc no pressure this is
- 00:43:20the last one yeah i think this is like
- 00:43:22you know this is like the closer you
- 00:43:24know this is the closer oh you're going
- 00:43:25to love it this is the closer all right
- 00:43:27this is like um
- 00:43:30who's this the guy never mind just go i
- 00:43:32guess okay say like number nine
- 00:43:35sinatra that's who i was gonna say
- 00:43:36sinatra he closes his show with my way
- 00:43:39okay that's a closer great song one of

- 00:43:45sinatra's a classic okay
- 00:43:47number nine
- 00:43:48num number nine mistake
- 00:43:51in setting up your llc is not using kkos
- 00:43:54lawyers
- 00:44:00may i was that a little too much you
- 00:44:02know
- 00:44:03what do they call that presumptive
- 00:44:06cocky presumptuous yeah that's uh that's
- 00:44:10just solid advice yeah we tried to do
- 00:44:12good job
- 00:44:13if you set up an llc with us and you're
- 00:44:15not satisfied or felt like you didn't
- 00:44:17get what you
- 00:44:19promised or whatever we want to solve it
- 00:44:21believe it or not we're a law firm with
- 00:44:22customer service
- 00:44:24so
- 00:44:26we have customers we have service we try
- 00:44:28to put both together so
- 00:44:30here's and here's why all that matters
- 00:44:32and what we talked about and this you
- 00:44:34know there's other law firms out there
- 00:44:36let's i mean go
- 00:44:38you you can use someone else but
- 00:44:40you know
- 00:44:41they could also suck and there's the
- 00:44:44biggest competition i have to say that
- 00:44:46we have is not other lawyers
- 00:44:48it's pretend lawyers yeah
- 00:44:51corporate headquarter places that are
- 00:44:53like
- 00:44:53business coaches or we're asset
- 00:44:56protection gurus they're not real
- 00:44:58lawyers they're not standing by what
- 00:45:00they're doing they're not licensed they
- 00:45:02don't have malpractice insurance
- 00:45:05all right
- 00:45:06and
- 00:45:06um and that's the ones that we see
- 00:45:09people come in
- 00:45:10in tears
- 00:45:11frustrated
- 00:45:13frankly a little scared
- 00:45:15they felt like they got taken advantage
- 00:45:17of and
- 00:45:19a lot of those clients thought they did
- 00:45:21all the right stuff they thought they
- 00:45:22were spending the money and being like
- 00:45:25doing what they were supposed to do
- 00:45:28but they got taken advantage of yeah
- 00:45:30and we we hate to see we want to do that
- 00:45:32here and our fees are reasonable 800
- 00:45:34bucks for an llc when you can you get up
- 00:45:36to an hour with the lawyer
- 00:45:38who's going to go over and make sure you
- 00:45:39get all the right documents for it
- 00:45:41that's going to talk about getting it in
- 00:45:42the right state that's going to
- 00:45:45talk about the temperature
- 00:45:46what's that put it in the big picture
- 00:45:48look at your yeah where's this yeah
- 00:45:52exactly and and so
- 00:45:54so that's you know if you do it an
- 00:45:56entity on legal zoom that's about 700
- 00:45:58bucks to do all pieces that you're
- 00:46:00supposed to do now i know they tease you
- 00:46:01like 99 bucks but that's just for your
- 00:46:03one piece of paper that we've already
- 00:46:04talked about so but to get all the
- 00:46:06pieces that they do offer but you gotta
- 00:46:08click click click and keep adding them
- 00:46:10you're basically the same price as we
- 00:46:12are at a law firm to get it done yeah
- 00:46:15well plus you get attorney client
- 00:46:16privilege with all your conversations
- 00:46:17and what's going on here you're not
- 00:46:19getting that illegal zoo yeah and i
- 00:46:21and i and and i'll say this in all
- 00:46:23seriousness wrapping it up too is
- 00:46:25um yeah we're joking around self-serving
- 00:46:27that you know check our firm out blah
- 00:46:29blah but
- 00:46:31if you don't use us at least look for
- 00:46:32those same characteristics so same
- 00:46:34services those same pricing model and
- 00:46:37please please please listen to this
